A TRX treasury company has just filed to sell stock equal to about a third of its share count. Tron Inc signed a sales agreement with Clear Street on October 14, 2026. The Tron Inc ATM program covers up to $200 million of common stock. The prospectus says the money will go primarily to buying more TRX tokens.

How the Tron Inc ATM program works
An at-the-market program lets a company sell shares in small pieces whenever it chooses, rather than in one big offering. Clear Street acts as agent, and it is not required to sell any set amount. Its pay is up to 3.0% of the gross proceeds from shares sold.
The company may also sell shares to Clear Street as principal, but it says that would need a separate agreement. Shares trade on the Nasdaq Capital Market under the ticker TRON. The cover puts the market value of shares held by non-affiliates at $112,801,203, using 52,465,676 shares at the August 26 price of $2.15. It also calls the company an emerging growth company and a smaller reporting company, which means lighter reporting rules. The 8-K, filed the same night, lists the deal as a material definitive agreement.
The Tron Inc ATM math in the filing
The filing runs its figures at an assumed price of $1.22, which was the Nasdaq close on October 13. At that price a full sale means 163,934,426 new shares. Against the 474,382,064 shares counted on June 30, that is roughly 34.6% more stock.
The price has moved since. Nasdaq's quote page showed $1.18 at 9:28 AM ET on October 15. The prospectus itself mentions a last sale of $2.15 on August 26, so the stock sits about 43% below that older mark.

Net tangible book value was about $0.02 per share on June 30. After a full sale it would be about $0.32, and the filing says buyers at $1.22 would face dilution of $0.90 per share. Those figures are illustrative, because real sales will happen at varying prices.
What the Tron Inc ATM could buy
On June 30 the company held TRX and sTRX tokens valued at $233.8 million, with a $10.1 million prepayment for purchases on top. The filing counts those holdings as intangible assets. That is why they sit outside tangible book value, and why that figure is so small.
Next to the token pile, the program is large. A full $200 million sale would equal about 86% of the tokens held in June. TRX traded near $0.33 on Binance on October 15, which gives a sense of what $200 million could buy. The prospectus does not say how fast the company plans to sell.
What to watch
Future filings will show how many shares the company actually sold and how many tokens it added. This article reports the terms in a prospectus supplement. It does not say whether the Tron Inc ATM will be used in full or how the stock will react.
